Welcome to ChiroInABox. These Terms of Service ("Terms") govern your access to and use of the ChiroInABox platform, services, and website (collectively, the "Service"). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By accessing or using ChiroInABox, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

ChiroInABox is a cloud-based practice management platform designed for chiropractic clinics. Our Service includes, but is not limited to:

3. Account Registration

To use ChiroInABox, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Billing

4.1 Subscription Plans: Access to ChiroInABox is provided on a subscription basis. The features available to you depend on your selected subscription plan.

4.2 Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing period.

4.3 Payment: You agree to pay all fees associated with your subscription plan. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.4 Price Changes: We reserve the right to modify our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. HIPAA Compliance

ChiroInABox is designed to support HIPAA compliance for covered entities. We will enter into a Business Associate Agreement (BAA) with you as required under HIPAA. You remain responsible for ensuring your use of the Service complies with HIPAA and other applicable healthcare regulations.

6. Data Ownership and Security

6.1 Your Data: You retain all rights to the data you enter into ChiroInABox. We do not claim ownership of your patient records, clinical documentation, or other practice data.

6.2 Data Security: We implement industry-standard security measures including encryption, access controls, and regular security audits to protect your data.

6.3 Data Export: You may export your data at any time during your subscription. Upon termination, we will provide reasonable assistance to export your data.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any viruses, malware, or other harmful code
• Resell, sublicense, or share your account without authorization
• Use the Service to store or transmit content that infringes on third-party rights

8. Intellectual Property

ChiroInABox and its original content, features, and functionality are owned by ChiroInABox, Inc. and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without explicit permission.

9. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., payment processors, clearinghouses). We are not responsible for the content, privacy policies, or practices of third-party services. Your use of such services is governed by their respective terms.

10. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may suspend access for maintenance, updates, or in response to security threats. We will provide reasonable notice of scheduled maintenance when possible.

11. Termination

11.1 By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

11.2 By Us: We may suspend or terminate your account if you violate these Terms or for any other reason with 30 days' notice. In cases of serious violations, we may terminate immediately.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. CHIROINABOX IS A PRACTICE MANAGEMENT TOOL AND DOES NOT PROVIDE MEDICAL ADVICE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHIROINABOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless ChiroInABox and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
